This contest was for naming the newly constructed building located at 4636 Colorado Street SE, Prior Lake, MN 55372. It's next to Premier Dance Studio and across CR21 from the Prior Lake Library.

Judging will be at the sole discretion of Dan Stanley, Manny Perez and the Mayor of Prior Lake.

Entries were limited to three entries per person.

Entries become the property of Black Hills Property LLC.

Name The Building Intellectual Property License Agreement

Name The Building Contest Submission

 

This Intellectual Property License Agreement (“Agreement”) is entered into as of the date of submission by the above signed participant (“Participant”) in connection with the Name The Building (the “Contest”), organized by Stanley & Wencl, Chula's and Black Hills Property LLC (“Organizer”).

1. Submission of Work

Participant voluntarily submits building name concepts (collectively, the “Submission”) as part of the Contest.

2. Ownership

Participant relinquishes ownership of all right, title, and interest in and to the Submission, including all intellectual property rights, and agrees to the license granted below.

​

3. License Grant

Participant hereby grants Organizer a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to:

  • Use the submission as the name of the building at 4636 Colorado Street SE, Prior Lake, MN 55372.

  • Display the name on the building.

  • Use, reproduce, display, publish, distribute, and publicly perform the Submission;

  • Modify, adapt, or create derivative works based on the Submission;

  • Use the Submission for promotional, marketing, educational, internal, external and commercial purposes related to the Contest or Organizer’s activities;

  • Sublicense the foregoing rights to partners, sponsors, or affiliates as needed.

  • Allow the City of Prior Lake to use the name of the building in materials, maps and other needs in the ordinary course of business.

4. Attribution

Organizer may, but is not required to, credit Participant in connection with use of the Submission.

​

5. Representations and Warranties

Participant represents and warrants that:

  • The Submission is original or that Participant has secured all necessary rights and permissions;

  • The Submission does not infringe upon the rights of any third party;

  • Participant has full authority to grant the license described in this Agreement.

  • ​

6. Third-Party Materials

If third-party materials are included in the Submission, Participant confirms that all required permissions have been obtained and provided upon request.

7. No Obligation to Use

Organizer is under no obligation to use the Submission and may independently develop similar materials.

 

8. Compensation

Except for any prize awarded under the Contest rules, no additional compensation will be provided for use of the Submission.

9. Governing Law

This Agreement shall be governed by the laws of Minnesota, USA.

​

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the Submission.
